Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services operated by Attr AI ("Company," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using our services, websites, or applications (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

Attr AI provides software-as-a-service solutions for attribution analytics and related business intelligence. The specific features and functionality available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. Account Registration

To access certain features of the Services, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information to keep it accurate;
  • Maintain the security of your account by not sharing your password and restricting access to your account;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current.

4. Subscription and Payment

4.1 Fees

Certain Services require payment of fees. You agree to pay all applicable fees as described on our pricing page or in your order form. All fees are non-refundable except as expressly set forth in these Terms or required by applicable law.

4.2 Billing

We bill in advance on a monthly or annual basis depending on your subscription plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Price Changes

We may change our fees at any time. Price changes for existing subscribers will take effect at the start of the next billing period following notice of the price change.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights;
  • Upload, transmit, or distribute any malicious code, viruses, or harmful components;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Attempt to gain unauthorized access to the Services or related systems;
  • Use the Services for any fraudulent, deceptive, or illegal purpose;
  • Reverse engineer, decompile, or disassemble any aspect of the Services;
  • Resell, sublicense, or redistribute the Services without our prior written consent;
  • Use automated means to access the Services except through our approved APIs;
  • Collect or harvest any information from the Services without authorization.

6. Intellectual Property

6.1 Our Intellectual Property

The Services and all content, features, and functionality thereof (including but not limited to information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Attr AI, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of any data, content, or materials you upload to or create using the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely as necessary to provide the Services to you.

7. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or independently developed without use of confidential information.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you agree to our collection and use of information as described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATTR AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Attr AI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us or using the account settings in the Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, in some cases, provide additional notice. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Attr AI regarding the Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
